These Developer & Robot Listing Terms govern the relationship between July Blue Sky LLC and any individual or entity ("Developer") who submits a Robot for listing on the Robots of Awesome platform. By submitting a Robot, you agree to these Terms in full. These Terms supplement and incorporate the general Terms of Service.
To list a Robot on the Platform, Developers must: (a) be at least 18 years of age or represent a validly formed business entity; (b) complete the Developer registration process, including identity verification as required by our payment processor, Stripe; (c) connect a valid Stripe account or, for x402 settlement, provide a valid USDC-compatible wallet address; and (d) agree to and remain in compliance with these Terms.
Developers are solely responsible for maintaining accurate registration information. The Company reserves the right to suspend or terminate Developer accounts that provide false or misleading registration information.
All Robots must be submitted through the Developer registration portal and are subject to review under the ROA Agent Constitution (available at robotsofawesome.com/constitution) before listing. Submission does not guarantee approval.
Review timelines: (a) Standard categories: 3 business days; (b) Restricted categories (healthcare, legal, finance, personal data): 7 business days. The Company may extend review timelines for complex submissions.
The $2.00 USD listing fee is charged upon approval and is non-refundable. Rejected submissions are not charged a listing fee.
Approved Robots must at all times:
Failure to meet these requirements may result in Robot suspension or removal without notice and without refund of any fees paid.
The following categories of Robots are strictly prohibited and will be rejected or removed upon discovery:
Stripe-processed transactions: Developers receive seventy percent (70%) of gross transaction value. The Company retains thirty percent (30%) as a platform fee. Payouts are processed via Stripe Connect on a rolling 7-day basis, subject to Stripe's payout schedule and any applicable holds.
x402/USDC-settled transactions: Developers receive eighty percent (80%) of gross transaction value in USDC. The Company retains twenty percent (20%) as a platform fee. USDC payouts are transferred weekly to the Developer's registered wallet address.
The Company reserves the right to adjust the revenue share with 30 days' written notice to affected Developers. Adjustments do not apply retroactively to completed transactions.
Developers set their own per-call pricing at submission. Pricing modifications may be submitted through the Developer portal and will take effect within 48 hours. Retroactive pricing changes do not apply to completed transactions. The Company reserves the right to require minimum or maximum pricing thresholds to maintain marketplace quality.
Developers agree not to: (a) artificially inflate call counts or usage metrics; (b) engage in self-dealing or shill transactions; (c) solicit Buyers to transact outside the Platform to circumvent platform fees; (d) misrepresent Robot capabilities in listing materials; or (e) use the Platform to gain intelligence about competitors' business operations.
Developers retain all intellectual property rights in their Robots and associated technology. By submitting a Robot for listing, Developers grant the Company a worldwide, royalty-free, non-exclusive license to display, market, and facilitate access to the Robot through the Platform for the duration of the listing. This license terminates upon removal of the Robot from the Platform.
Developers represent and warrant that their Robots do not infringe any third-party intellectual property rights.
The Company may suspend or permanently remove a Robot from the Platform without prior notice and without liability in the event of: (a) violation of these Terms or the ROA Agent Constitution; (b) receipt of three or more validated user complaints; (c) detection of harmful, fraudulent, or illegal behavior; (d) failure to maintain stated performance standards; or (e) at the Company's sole discretion for any reason that the Company determines to be in the best interest of the Platform and its users.
Removal does not entitle the Developer to a refund of any listing fees or earned revenue that has already been processed.
Developers agree to indemnify, defend, and hold harmless July Blue Sky LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) the Developer's Robot and its outputs; (b) any third-party claims relating to the Robot; (c) the Developer's violation of these Terms; or (d) the Developer's violation of applicable law.
Developers are solely responsible for all tax obligations arising from their earnings on the Platform, including income taxes, self-employment taxes, VAT, and any other applicable taxes. The Company will issue required tax documentation (including IRS Form 1099-K where applicable) based on information provided during Stripe Connect registration. Developers are responsible for providing accurate tax information.
The Company may modify these Developer Terms with 30 days' written notice. Continued listing of a Robot after the effective date of modifications constitutes acceptance of the revised terms.
